II. TERMS & CONDITIONS
1. This terms - Conditions ("T&C") govern the Pearl Club membership program (“Program”) operated by Vinpearl JSC, applied to customers participating in the Program.
2. Conditions of being a member:
- The Program is available to any individual of 18 years old and above, having valid identification documents.
- Have identified account, according to the joint account of Vingroup ID
- Online membership registration (Website/App)
- Offline membership registration (At hotels, partners, membership card sales agencies)

5. Loyalty Member (“Member”) is a customer who has (i) properly registered to participate in the Program, and (ii) has activated and owned a Pearl Club card (including physical card and/or mobile application and/or barcode of Pearl Club card or another form as prescribed by the Program at that time). Only then, the member officially owns the Pearl Club account ("Account"). Each Member can only own one (01) Account. The Vinpearl Ecosystem includes Vinpearl, VinWonders, Almaz Ha Noi and other entities/facilities as published on the official website www.vinpearl.com/pearlclub ("Website") and mobile application (“App”). All units in the Vinpearl Ecosystem are collectively referred to as Vinpearl.
6. Member agrees that, by registering to participate in the Program, or activating and using the Card to transact, the member has read, understood, and agreed with the T&C and the Program's policies as published on the Website.
7. Member will be entitled to (i) the primary benefits of Cardholder, and (ii) exclusive incentives depending on the membership tier according to the Program’s content as published on the Website and App. The exclusive incentives will include the following benefits: (1) to accumulate transaction value into the Account to maintain or upgrade membership tier.
8. Member has the rights to access, look up and update personal information, rights to access and look up accumulated value in the Account through different methods such as the Program’s call center 1900 232389 (extention 3) ("Call Center"), app MyVinpearl or website www.vinpearl.com. Member is responsible for any and all costs, taxes, fees, claims or liabilities (if any) resulting from the use of benefits from the Program as a Program Member under Vietnam's law.
9. Member understands, commits and ensures to be the only individual using the Card/Account, is responsible for preserving the Card and maintaining the Account confidentiality. Member is responsible for any Account transactions and other operations (such as change of configuration, change of address, Account information). Unless the Program content is otherwise stated on the Website, Member is not allowed to provide Card/Account information to any third party and must be responsible for any improper implementation of this T&C.
10. The Program's T&C may be modified/adjusted / terminated according to Vinpearl's notice on the Program’s Website or App. Member's continuous holding of the Account is deemed to accept such modifications/adjustments.
11. Vinpearl is not responsible in the event that Member cannot perform or consume the benefits and privileges that Member is entitled to due to force majeure such as flood, earthquake, war, labor strike, demonstration, computer breakdown, Government enactment of policies/interventions/directives/bans, legal changes, or external out-of-control events.
12. If there is any change in Member information (phone/email/address), Member is responsible for updating information immediately via the Program’s Website, App or Call Center, customer service counters, customer care counters or any other channels of the Program. Vinpearl is not responsible for any damages related to or arising from the above information not being updated in time.
13. All Card’s accumulated value/benefits, which is in dispute or showing signs of fraud or violation of the Program's T&C will not be used during the time of dispute or investigation of fraud or violation.
14. Member agrees for Vinpearl to create, store, maintain and update personal information provided and updated by Member. Member agrees to allow Vinpearl to use these data for the purposes consistent with the Program, including but not limited to perform transactions and introduce new Vinpearl products/services. All data related to Member will be protected and used by Vinpearl in accordance with Vinpearl's privacy policy posted at: https://www.vinpearl.com/en/chinh-sach- Quyen-rieng-tu
15. Vinpearl reserves the right to request Member to provide information and/or present valid personal documents as soon as Vinpearl detects that Member commits acts against the rule or before Member uses accumulated value to upgrade/ or receive the incentives in some cases.
III. SYNCING PEARL CLUB ACCOUNTS
1. Our loyal customers (“Customer”) who have registered to participate in the Pearl Club Program of the Vinpearl Joint Stock Company (“Program”) and have successfully activated 02 accounts by email and phone number, have the right to synchronize these 2 accounts.
2. Account synchronization is possible if and only if the 02 accounts are under the same name. The name is required to be in the same order: Last Name - Middle Name - First Name, regardless of lowercase or uppercase letters. Cases where the First & Last Name are the same but not in the same order, or missing any characters are considered invalid.
3. The retained account is the account currently logged in and performing account synchronization on App MyVinpearl or https://vinpearl.com website, App VinWonders or https://vinwonders.com website.
4. Once account synchronization has been agreed on, Vinpearl will synchronize the following information:
a) Card class: Customers will be able to retain the higher card class, and the card's expiration date will be applied according to the expiration date of the current card class.
d) Card class incentives and membership benefits: Membership incentives and benefits will be applied according to the card class held.
c) Free Nights (if any): Vinpearl will sync Free Nights of the 02 accounts, the validity period of Free Nights after syncing will be applied according to the expiry date of the current card class.
d) Voucher (if any): Vouchers will be accumulated into the retained account and the terms and conditions, and expiration date of the voucher will not change when the accounts are synchronized.
e) Orders and accumulated points will be synced into the retained account. The accumulated value after syncing will be calculated as the current accumulated value of the account and used to determine customer rank according to Pearl Club General Terms and Conditions.
5. After successfully syncing the accounts, the customer's remaining account will be blocked and will not be able to be restored in any form.

IV. USING THE ACCUMULATED TRANSACTION VALUE
1. Member can accumulate transaction values when purchasing for services/goods at Vinpearl Ecosystem. The value is accumulated after the Account has been activated in accordance with the provisions of the Program.
2. To accumulate transactions, Member must present the Card (hard card or electronic card) at the time of transaction.
3. The basis for Member’s accumulated transaction value is the invoice value after deducting valid promotions and discounts and is the value after VAT.
4. The amount of accumulated transaction value through executed transactions will be credited to the Account within 24 hours after using the service (“Available Accumulated Value”). The Available Accumulated Value is valid for a maximum period of one (01) calendar year (January 1 – December 31 annually for the purpose of qualifying customers tier. On January 1 annually, the accumulated value in the Account will be deleted and start a new cycle.
5. The accumulated value is only used to upgrade the card, not redeemable for cash, incentives….
6. During the payment process, Member can choose whether or not to accumulate transaction value. All notices/complaints of Member must be made through the Call Center, or the Program's email published on the Website and App.
V. TERMINATION OF MEMBER’S RIGHTS
Unless otherwise stated in this T&C, Member's rights are valid indefinitely unless terminated in the following cases:
1. Member sends a termination request to the Program's official contact/email: [email protected].
2. In case the card usage does not comply with the T&C and other regulations of the Program, Member will receive a notification of card suspension via email. Within 15 days from the date of notification, if Member has no response or Member's response is not accepted by Vinpearl, the Account will be permanently closed and all remaining benefits in the Account will be disabled. The acts of unlawful usage of the card include, but are not limited to, taking advantage of the Program's policies or other promotion/offer programs of Vinpearl; taking advantage of loopholes, ambiguities and system errors of the Program application for fraudulent or self-seeking interests; using equipment and technology to interfere with the Vinpearl system illegally; use the Account to perform transactions for money laundering, terrorism financing, fraud, deception; and other law-breaking acts.
3. Termination in other cases as stated by the Program or as regulated by law.
VI. OTHER TERMS
1. Dispute Resolution: This T&C will be adjusted and explained in accordance with Vietnamese laws. Any dispute arising out of or in relation to this T&C shall be settled by negotiation between the parties. In case a dispute is not resolved through negotiation within 30 days, each Party will have the right to bring the dispute to a competent court in Vietnam.
2. Vinpearl reserves the right to assign or transfer the Program wholly or partly to any third party provided that Vinpearl publishes this content on the Website.
3. The Card issued to Member is the property of Vinpearl. Vinpearl reserves the right to terminate the Program by notifying all Members 30 working days in advance. A settlement for Member benefits will be announced together with notice of Program termination.
Vinpearl will not require Member to provide password and Account details via email or SMS. Member should be vigilant and responsible for maintaining the confidentiality of password and information of the Account.
